Terms of Service

1. Agreement

These Terms of Service (“Terms”) govern your use of the hosted LangAlpha service operated at ginlix.ai and langalpha.com (and related subdomains). By accessing or using the service you agree to be bound by these Terms. If you do not agree, do not use the service.

LangAlpha's core agent code is open source. These Terms apply only to the hosted service. If you self-host LangAlpha or run it from the source repository, your use is governed by the open-source license alone.

2. Eligibility

You must be at least 13 years old to use the service. If you are using the service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us promptly at contact@ginlix.ai if you suspect unauthorized access.

4. Acceptable Use

You agree not to:

• Use the service to violate any law, infringe intellectual property rights, or harm others.
• Attempt to reverse engineer, probe, or interfere with the service's infrastructure, security, or rate limits.
• Use the service to generate or distribute malware, spam, harassment, or content that is unlawful, deceptive, or harmful.
• Resell or sublicense access to the hosted service without our written permission.
• Use the service to provide regulated financial, legal, medical, or other professional advice as if it were authoritative.

5. AI-Generated Output

LangAlpha uses generative AI to produce research, analysis, charts, and summaries. AI output may be inaccurate, incomplete, or out of date. You are responsible for reviewing AI output before relying on it.

Nothing in the service is financial, legal, tax, or investment advice. LangAlpha is a research tool, not a registered investment adviser, broker, or fiduciary. Consult a qualified professional before making financial decisions.

6. Third-Party Services

The service routes your queries to third-party LLM providers, executes code in third-party sandbox infrastructure, retrieves data from third-party financial and web data providers, and delivers messages through third-party messaging platforms (such as Slack). Your use of those third-party services is governed by their own terms and privacy policies. We do not control and are not responsible for their availability, accuracy, or behavior.

7. Paid Plans, Credits, and Billing

Some features require a paid plan or consume credits. Pricing, plan inclusions, and credit allocations are described on the Plans page and may change with notice. Charges are non-refundable except where required by law. You authorize us to charge your payment method for amounts owed.

8. Bring Your Own Key (BYOK)

If you configure your own API key for an upstream provider, you remain responsible for that provider's charges, terms, and privacy practices. LangAlpha acts only as a conduit for your requests in BYOK mode and is not liable for actions taken by the upstream provider.

9. Your Content

You retain ownership of the prompts, files, and content you submit to the service (“Your Content”). You grant us a limited license to host, process, transmit, and display Your Content solely as needed to operate the service for you. We do not use Your Content to train AI models.

10. Intellectual Property

The hosted service, branding, and proprietary configuration are owned by us or our licensors. The open-source LangAlpha agent code is licensed under its respective open-source license; nothing here restricts your rights under that license. Apart from those open-source rights, no implied license to our trademarks or hosted-service IP is granted.

11. Service Changes and Availability

We may modify, suspend, or discontinue all or part of the service at any time. We aim for high availability but do not guarantee uninterrupted access. We may impose usage limits to protect service stability and fairness.

12. Termination

You may stop using the service at any time. We may suspend or terminate your access if you violate these Terms or if continued service would expose us or other users to legal, security, or operational risk. On termination, your right to use the service ends; provisions that by their nature should survive (including intellectual property, disclaimers, indemnification, and limitations of liability) will survive.

13. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT AI OUTPUT WILL BE ACCURATE, RELIABLE, OR ERROR-FREE.

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM (OR ONE HUNDRED U.S. DOLLARS IF YOU PAID NOTHING).

15. Indemnification

You agree to indemnify and hold us harmless from any claim, loss, or expense (including reasonable attorneys' fees) arising from your misuse of the service or violation of these Terms.

16. Governing Law

These Terms are governed by the laws of the jurisdiction where LangAlpha is operated, without regard to conflict-of-laws rules. Any dispute will be resolved in the courts of that jurisdiction, unless local consumer-protection law gives you the right to bring proceedings elsewhere.

17. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you in the app or by email before the changes take effect. The “Effective” date at the top of this page reflects the most recent update. Continued use after changes take effect constitutes acceptance.
